Please read these Terms carefully before buying. By placing an order on vervidus.com, you agree to them.

Who we are

These Terms are between you and:

MB Vervidus, registered in Lithuania, European Union. Contact: info[at]vervidus.com or via our contact page.

In these Terms, “we”, “us” and “our” mean MB Vervidus. “You” and “your” mean the person placing the order.

What these Terms cover

These Terms apply to everything you buy or download from vervidus.com.

They do not apply to purchases made through our Etsy shop. Those are governed by Etsy’s Terms of Use, and your contract for those purchases involves Etsy as the marketplace.

How we handle your personal information is set out separately in our Privacy Policy.

Our products

Everything we sell is a digital product. Nothing is physically shipped to you.

Our products are templates, checklists, planners, trackers, guides, and similar business tools, supplied as downloadable files (for example, PDF, spreadsheet, or document formats, or as links to copy a template into your own account on a third-party platform).

Each product page tells you what you are getting, in what format, and what software you need to use it. Please read this before buying — it is your responsibility to check that a product works with the tools you have.

Screenshots, previews and mockups are illustrative. Colors and layout may look slightly different on your screen or when printed.

Prices and payment

  • Prices are shown in US dollars (USD) on the product page and at checkout.
  • Prices may include or exclude VAT or sales tax depending on your country. Any applicable tax is calculated and shown at checkout before you pay.
  • We may change prices, run promotions, or end promotions at any time. The price that applies to your order is the one displayed when you complete checkout. If a promotion ends after you bought at the promotional price, you are not charged more.
  • Payment is processed by Stripe. We never see or store your full card details.
  • Your order is accepted, and a contract is formed between us when we send you your download link — not when you click “buy”.

If a product is listed at an obviously incorrect price because of a technical or human error, we may cancel the order and refund you in full. We will tell you if this happens.

Delivery of your download

After successful payment, you will receive an email containing your download link, sent to the address you entered at checkout.

  • Delivery is normally immediate — within a few minutes.
  • Download links may expire or have a limited number of downloads for security reasons. Please save your files somewhere safe as soon as you receive them.
  • Check your spam and promotions folders before contacting us.

If your download does not arrive, or a file will not open, email us at info[at]vervidus.com, and we will fix it. This is our problem to solve, not yours. We will resend your files or provide them in a working format.

We are not responsible for delivery failures caused by an incorrect email address entered at checkout, a full inbox, or your email provider blocking our messages — but contact us anyway, and we will help.

Your right of withdrawal, and why it does not apply here

If you are a consumer in the EU or the UK, you normally have 14 days to withdraw from a distance purchase without giving a reason.

This right does not apply to digital content that is delivered immediately, once delivery has begun with your express consent.

At checkout, you are asked to confirm that you want your download delivered immediately, and you acknowledge that by doing so you lose your 14-day right of withdrawal.

You must tick this box to complete your purchase. If you do not want to give up this right, do not complete the order — contact us instead and we will discuss alternatives.

This is a legal exception under the EU Consumer Rights Directive and the equivalent UK regulations. It exists because a downloaded file cannot be returned.

Refunds and our guarantee

The general rule

Because our products are digital and delivered instantly, all sales are final, and we do not offer automatic refunds.

What we always fix, free

Regardless of anything above, contact us, and we will put it right if:

  • Your download never arrived;
  • A file is corrupted, incomplete, or will not open;
  • The product is materially different from what the product page described;
  • You were charged twice or charged the wrong amount.

We will resend, repair, replace, or refund as appropriate. These situations are our responsibility and are not covered by the “no refunds” rule.

Our guarantee

We would rather have a satisfied buyer than a sale.

If you have genuinely tried a product and it has not been useful to you, email us within 30 days of purchase, tell us what didn’t work, and we will refund you. We ask for the reason only so we can improve the product — not to talk you out of it.

This guarantee is offered voluntarily, in addition to your legal rights. We may decline it where we see evidence of abuse — for example, repeated refund requests across many orders, or redistribution of the files.

How refunds are paid

Approved refunds are returned to your original payment method, normally within 5–10 business days depending on your bank. When you receive a refund, your license to use the product ends, and you must delete the files.

What you may and may not do with our products

When you buy a product, you do not own it — you get a license to use it.

You may

  • Use the product in your own business, including a business you run commercially, for as long as you like.
  • Use it across your own shops, websites and channels.
  • Edit, customize and adapt it for your own use.
  • Print it and make copies for your own use.
  • Use any outputs you create with it — your listings, your plans, your copy — commercially and without restriction. Anything you produce using our templates belongs to you.

You may not

  • Share, send, upload, or give the files to anyone else, including in a Facebook group, Google Drive folder, membership site, or course.
  • Resell, sublicense, rent, or redistribute the product, whether free or paid, whether edited or not.
  • Sell the product as your own, or as part of a bundle, template pack, or digital product you sell.
  • Claim authorship of it.
  • Remove or alter our branding, copyright notices, or attribution where these appear in the file.
  • Use it to create a competing product that substantially reproduces ours.

One buyer, one license

Each purchase covers one person or one business. If you want to use a product across a team or several separate businesses, contact us.

If you breach this license

We may end your license immediately, without a refund, and require you to delete all copies. We reserve all other legal remedies. We take redistribution seriously — it is the main thing that damages a small digital business.

Intellectual property

All content on vervidus.com and in our products — text, layouts, designs, graphics, structures, methods and file contents — is owned by MB Vervidus or used under license, and is protected by copyright and other intellectual property laws.

Nothing in these Terms transfers ownership to you. The section “What you may and may not do with our products” sets out exactly what you are allowed to do.

Blog posts and free resources may be quoted briefly with credit and a link back. They may not be republished in full.

No guarantee of results

This is important, so we will be direct about it.

Our products are business tools. They are not a promise of income, sales, traffic, or any other result.

  • We do not guarantee that using our products will increase your sales, your traffic, or your revenue.
  • Any figures, examples, case studies, screenshots, or results mentioned on our site, in our products, or in our emails are illustrative.
  • They are not typical, not promised, and not a projection of what you will achieve.
  • Results depend on your products, your market, your pricing, your effort, your consistency, the platforms you sell on, and many factors outside anyone’s control.
  • Selling online involves risk, including the risk of losing money.

You are responsible for your own business decisions. Nothing we sell replaces your own judgment.

Not professional advice

Our products and content are general information for business owners. They are not legal, tax, accounting, financial or professional advice, and no client relationship is created by buying them.

Where our products touch on legal or tax matters — for example, shop policies, invoicing, or compliance — you must check the position for your own country and situation with a qualified professional. Rules differ by country and change over time.

Third-party platforms and links

Our products reference and sometimes integrate with third-party platforms such as Etsy, Google, Canva, Shopify, WordPress, and others.

  • We are not affiliated with, endorsed by, or sponsored by any of these companies unless we explicitly say so.
  • We do not control their features, pricing, policies, or availability.
  • A platform may change or remove a feature our product relies on.
  • Your use of those platforms is governed by their own terms, not ours.
  • Our site and emails may contain links to third-party sites.
  • We are not responsible for their content.

Where a product depends on a specific third-party tool, the product page says so. If a platform change makes a product unusable, contact us — we will normally update the product or make it right.

Product updates and availability

  • We may update, improve, rename, retire, or stop selling any product at any time.
  • Where a product includes free updates, the product page says so.
  • Unless stated, you are buying the version available at the time of purchase.
  • We are not obliged to keep any product available for sale, or to keep download links live indefinitely.
  • Please save your files.

Website availability

We try to keep vervidus.com available and working, but we do not guarantee uninterrupted access. The site may be unavailable for maintenance, updates, or reasons outside our control.

You must not attempt to gain unauthorized access to the site, interfere with its operation, introduce malicious code, or scrape it systematically.

Events outside our control

Occasionally something outside our reasonable control stops us delivering — a hosting outage, a failure at our payment processor or email provider, a cyber attack, or similar.

If that happens, we will deliver your download as soon as we reasonably can, and we will tell you what is going on. If we still cannot deliver it within 14 days of your payment, you may cancel your order, and we will refund you in full.

This does not affect your statutory rights.

Our liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited. Your statutory rights as a consumer are not affected by these Terms.

Subject to that:

  • We are not liable for loss of profit, loss of sales, loss of business, loss of data, or any indirect or consequential loss arising from your use of our products.
  • We are not liable for business decisions you make based on our products or content.
  • Our total liability to you for any claim connected to a product is limited to the amount you paid for that product.

We supply digital tools for a low price. That price reflects the level of risk we can reasonably take on.

Complaints and disputes

Talk to us first. Email info@vervidus.com with the details and your order reference. We answer every message, and we would much rather resolve something directly. We aim to reply within 1-3 business days and to resolve complaints within 14 days.

If we cannot resolve it between us:

  • Consumers in Lithuania may refer the matter to the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba), vvtat.lt.
  • Consumers elsewhere in the EU can get free help with a cross-border complaint from the European Consumer Center in their own country, and can find approved dispute resolution bodies via the European Commission’s consumer redress site.
  • Consumers in the UK, the US, Canada and elsewhere retain whatever rights and complaint routes their own law provides.

Governing law

These Terms are governed by the law of the Republic of Lithuania, and the courts of Lithuania have jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory consumer laws of the country where you live, and you may also be able to bring proceedings in your own country’s courts.

Changes to these Terms

We may update these Terms as our products or the law change. The version that applies to your order is the one published at the time you bought. The “Last updated” date at the top shows the current version.

General

  • If any part of these Terms is found to be invalid or unenforceable, the rest continues to apply.
  • If we do not enforce a right straight away, we have not given it up.
  • These Terms, together with the product page and our Privacy Policy, are the whole agreement between us.
  • You may not transfer your rights under these Terms to anyone else. We may transfer ours if our business is sold, without affecting your rights.
